Terms and Conditions

These Terms of Service ("Terms") constitute a legally binding agreement between you and Growlio, Inc., a Delaware corporation with its registered address at Corporation Service Company, 251 Little Falls Drive, Wilmington, DE 19808 ("Growlio"), governing your access and use of Growlio's platform (the "Platform") and the software and services made available through it (collectively, the "Services").

By clicking "I Agree to the Terms of Service" or by (i) accessing or using any part of the Platform, or (ii) using any Services offered on the Platform, you agree to be bound by these Terms.

Growlio reserves the right to modify these Terms at any time to reflect changes in technology, applicable laws, or business practices.

Growlio's Services

Growlio provides an online platform offering tools for businesses and freelancers to manage on-demand projects. The Platform includes:

• Freelance Services: Tools for freelancers to manage contracts, invoicing, payments, and reporting.
• Client Services: Solutions for companies to streamline onboarding, sourcing, project management, invoicing, payments, and reporting when working with external talent.

Growlio's Services may evolve, and features may be added, modified, or discontinued without notice. All new features remain subject to these Terms.

Account Eligibility & Responsibilities

To create an account, you must be at least 18 years old and capable of forming a legally binding contract.

You are responsible for:

• Safeguarding your password and not disclosing it to third parties.
• All activities conducted under your account.
• The accuracy of all Content (defined as any text, data, images, project details, or other information submitted to the Platform).

Fees & Payments

Freelance Services

• Some features are free (with limitations); Growlio may modify or discontinue free offerings at any time.
• Paid plans may be canceled anytime. Refunds are only issued within 24 hours of purchase.
• All subscriptions are processed through Creem, our Merchant of Record, using Stripe's payment infrastructure.

Client Services

• Subscription terms and fees are governed by a separate agreement.
• Payment is required upfront via credit/debit card through Creem.
• Automatic Renewal: Subscriptions renew automatically at the end of each term unless canceled before renewal.
• Renewal prices reflect current rates, and users will be notified of any changes.
• No prorated refunds upon cancellation.

Subscription Processing

• All subscriptions are processed by Creem (our Merchant of Record) using Stripe. By subscribing to Growlio, you agree to Creem's terms of service.
• You must maintain valid payment information for your subscription.
• Growlio is not liable for subscription processing errors or failures.

Content Ownership & Licensing

You retain rights to your Content but grant Growlio a worldwide, non-exclusive, royalty-free license to use it for providing Services. Growlio may remove or restrict access to objectionable Content at its discretion.

Confidentiality

Growlio will not disclose your Confidential Information (e.g., project details, contracts) without consent, except:

• As required by law.
• For Platform improvements (aggregated, non-identifiable data may be used).

Prohibited Conduct

You may not:

• Reverse-engineer or misuse the Platform.
• Post false, defamatory, or illegal content.
• Use another's account or impersonate others.
• Bypass security measures or disrupt Services.
• Violate third-party rights (copyrights, trademarks, etc.).

Termination

• Freelance accounts may be deactivated anytime.
• Subscription Services cannot be terminated mid-term but will not auto-renew if canceled.
• Growlio may suspend or terminate accounts for breaches, fraud, or illegal activity.

Dispute Resolution & Arbitration

• Claims against Growlio must be resolved through binding arbitration (AAA Commercial Rules).
• Class actions and jury trials are waived.
• Small claims court is permitted for eligible disputes.

Intellectual Property

Growlio owns all Platform IP (logos, software, trademarks). Unauthorized use is prohibited.

Disclaimers & Liability

Services are provided "as-is"—no warranties of accuracy or fitness. Growlio is not liable for third-party services or damages exceeding $500 (or fees paid in the last six months).

Indemnification

You agree to indemnify Growlio against claims arising from your misuse of the Platform, breach of these Terms, or disputes with third parties.

Governing Law

These Terms are governed by California law, with disputes resolved in San Francisco courts.

Modifications

Growlio may update these Terms; continued use constitutes acceptance.

Refund Policy

We aim to provide the best possible service and want you to be confident in choosing Growlio. Here's our refund policy:

Free Plan

• Our Free plan is available with no time limit
• Includes basic features with usage limits
• Upgrade to paid plans for full features

Monthly Subscriptions

• Cancellations are processed immediately
• Service continues until the end of the current billing period
• No refunds for partial months or unused time

Annual Subscriptions

• 14-day money-back guarantee from date of purchase
• No refunds after the 14-day guarantee period
• Option to downgrade to a lower-tier plan if needed

Eligibility Requirements

• Account must be in good standing
• Refund requests must be made within eligible timeframe
• Usage must not exceed reasonable trial usage limits
• Refunds are not available for add-ons or custom services

Service Continuity

• Verified service outages over 24 hours may qualify for service credit
• Fraudulent charges will be refunded once verified
• We reserve the right to deny refunds in cases of abuse or violation of terms

• Our team will respond within 1-2 business days
